Introduction

Welcome to GaiaBot. These Terms and Conditions govern your access to and use of the GaiaBot website, platform, demonstrations, tools, applications, content, and related services.

GaiaBot is currently under development. Certain features, including paid pricing plans, customer-specific application deployments, production hosting, billing, and commercial subscriptions, may not yet be available.

By accessing or using GaiaBot, you agree to these Terms and Conditions. If you do not agree with these terms, you should not use the platform.

Development Status

GaiaBot may be offered as a prototype, research platform, demonstration, pilot service, beta release, or work in progress.

Features may be incomplete, changed, suspended, or removed as the platform develops. Availability, performance, outputs, interfaces, and supported data types may change without notice.

Unless GaiaBot and a customer enter into a separate written agreement, use of the platform does not include:

  • A guaranteed production deployment.

  • Dedicated application hosting.

  • Guaranteed uptime or availability.

  • A service-level agreement.

  • Ongoing maintenance or technical support.

  • Commercial licensing rights.

  • Paid subscriptions or billing arrangements.

  • Custom integrations or customer-specific development.

Any future paid service, customer deployment, or commercial engagement will be governed by additional terms, pricing, statements of work, order forms, or other written agreements.

Eligibility

You must be legally capable of agreeing to these Terms and Conditions.

If you use GaiaBot on behalf of a company, government agency, university, research institution, nonprofit organization, or other entity, you confirm that you have the authority to accept these terms on its behalf.

You are responsible for ensuring that your use of GaiaBot complies with the laws, regulations, policies, contracts, and institutional requirements that apply to you.

Account Registration

Some GaiaBot features may require an account.

When creating or using an account, you agree to:

  • Provide accurate and current information.

  • Keep your login credentials secure.

  • Promptly update information that becomes inaccurate.

  • Notify GaiaBot of suspected unauthorized account access.

  • Accept responsibility for activity performed through your account.

You may not impersonate another person, misrepresent your affiliation, share credentials without authorization, or create accounts for fraudulent or abusive purposes.

GaiaBot may suspend or restrict an account when necessary to protect the platform, its users, or submitted data.

License to Use GaiaBot

Subject to these terms, GaiaBot grants you a limited, non-exclusive, non-transferable, revocable right to access and use the available platform features for their intended purposes.

This permission does not give you ownership of GaiaBot, its software, branding, models, documentation, interface, or other intellectual property.

Unless GaiaBot provides prior written permission, you may not:

  • Copy, reproduce, sell, sublicense, or commercially redistribute the platform.

  • Reverse engineer, decompile, or attempt to extract source code.

  • Circumvent authentication, access controls, usage restrictions, or security measures.

  • Use GaiaBot to develop or train a competing product through unauthorized extraction.

  • Remove copyright, trademark, attribution, or ownership notices.

  • Represent that GaiaBot has endorsed, certified, or approved your work.

Acceptable Use

You agree to use GaiaBot lawfully, responsibly, and only for authorized purposes.

You may not use GaiaBot to:

  • Violate any law, regulation, court order, or contractual obligation.

  • Upload information that you do not have permission to use.

  • Infringe intellectual property, privacy, confidentiality, or ownership rights.

  • Access another user’s account, files, projects, or data without authorization.

  • Upload malware, malicious scripts, corrupted files, or harmful code.

  • Probe, scan, disrupt, overload, or interfere with the platform.

  • Bypass security, usage limits, or access restrictions.

  • Generate, distribute, or facilitate fraudulent or deceptive content.

  • Harass, threaten, exploit, or cause harm to another person.

  • Use outputs as the sole basis for emergency, safety-critical, medical, legal, financial, or regulatory decisions.

  • Use the platform in a manner that could damage GaiaBot, its users, infrastructure, or reputation.

GaiaBot may investigate suspected misuse and restrict or terminate access when reasonably necessary.

User-Submitted Data

You retain ownership of the data, files, images, documents, sensor outputs, geospatial information, environmental observations, prompts, and other materials that you submit to GaiaBot.

By submitting data, you grant GaiaBot only the limited permission necessary to receive, store, process, transmit, and display that data for the purpose of providing the requested platform functionality.

GaiaBot does not obtain ownership of private user-submitted data.

You are responsible for ensuring that:

  • You have the legal right and authorization to submit the data.

  • The data does not violate confidentiality or privacy obligations.

  • Required permissions, notices, and consents have been obtained.

  • The data does not contain unnecessary sensitive or regulated information.

  • Uploading and processing the data is permitted by your organization.

Additional restrictions or security requirements may apply to regulated, classified, export-controlled, health-related, personally identifiable, confidential research, or government information.

Do not submit such information unless GaiaBot has expressly confirmed in writing that the platform is approved to process it.

Data Protection and Confidentiality

GaiaBot is committed to protecting private user information.

GaiaBot does not sell, rent, trade, or disclose private user data for advertising, marketing, profiling, or data-broker purposes.

Private data will be handled in accordance with the GaiaBot Privacy Policy and any applicable written agreement.

Users must also protect information made available through the platform. You may not disclose, download, copy, or use another person’s private information without authorization.

Platform Outputs

GaiaBot may generate analyses, classifications, predictions, maps, visualizations, recommendations, summaries, reports, or other outputs.

These outputs may be influenced by:

  • The quality and completeness of submitted data.

  • Sensor limitations.

  • Geographic and temporal coverage.

  • Model assumptions.

  • Processing methods.

  • Software errors.

  • Missing or inaccurate inputs.

  • Conditions not represented in the available data.

GaiaBot outputs are provided as informational, analytical, research, or decision-support materials. They should not automatically be treated as verified facts, professional advice, regulatory determinations, or guaranteed predictions.

You are responsible for reviewing, validating, and interpreting outputs before relying on them.

GaiaBot should not be used as the sole source for decisions involving public safety, emergency response, life, health, legal obligations, financial loss, infrastructure protection, or regulatory compliance.

Intellectual Property

GaiaBot and its licensors retain all rights in the platform and its underlying technology, including:

  • Software and source code.

  • Models and algorithms.

  • Platform design and interface elements.

  • Documentation and written content.

  • Trademarks, names, logos, and branding.

  • Proprietary workflows and processing methods.

These terms do not transfer ownership of GaiaBot intellectual property to users.

Feedback, suggestions, or ideas voluntarily provided to GaiaBot may be used to improve the platform without creating an obligation to compensate the person who submitted them. GaiaBot will not treat submitted private data as general product feedback.

Third-Party Services and Data Sources

GaiaBot may integrate with or reference third-party services, datasets, maps, software, APIs, hosting providers, sensor systems, or external websites.

Third-party resources may be subject to separate licenses, terms, usage restrictions, attribution requirements, privacy policies, and availability limitations.

GaiaBot does not control third-party services and is not responsible for their content, accuracy, security, availability, or practices.

You are responsible for complying with any third-party terms that apply to your use.

Fees and Payment

GaiaBot does not currently offer publicly available paid subscription plans unless expressly stated otherwise.

Pricing, billing, payment processing, customer-specific deployments, hosted applications, and production service packages are still being developed.

No use of the current website or platform automatically creates an obligation to pay GaiaBot unless you have entered into a separate written agreement.

Future commercial services may include:

  • Subscription plans.

  • Usage-based pricing.

  • Custom application development.

  • Customer-specific deployments.

  • Data processing services.

  • Hosting and infrastructure services.

  • Maintenance and technical support.

  • Training, consultation, or implementation services.

Before any paid service begins, applicable pricing, payment terms, deliverables, deployment responsibilities, support obligations, and refund or cancellation terms will be provided in a separate written agreement.

GaiaBot may update these Terms and Conditions when paid services become available.

Customer Deployments

Customer-specific application deployment is not currently included as a standard GaiaBot service.

Any future customer deployment will require a separate written agreement defining matters such as:

  • Project scope and deliverables.

  • Hosting responsibilities.

  • Customer infrastructure requirements.

  • Data storage and retention.

  • Security responsibilities.

  • Maintenance and update responsibilities.

  • User access and authentication.

  • Support availability.

  • Fees and payment schedules.

  • Acceptance testing.

  • Intellectual property ownership.

  • Termination and data return procedures.

Demonstrations, prototypes, previews, or pilot environments should not be interpreted as completed production deployments.

Suspension and Termination

You may stop using GaiaBot at any time.

GaiaBot may suspend, restrict, or terminate access when reasonably necessary, including when:

  • These terms are violated.

  • Platform security may be at risk.

  • Use is unlawful, fraudulent, harmful, or abusive.

  • An account is accessed without authorization.

  • Continued use could damage the platform or affect other users.

  • The service or feature is discontinued.

  • GaiaBot is required to do so by law.

Where appropriate, GaiaBot may provide notice and an opportunity to correct the issue. Immediate suspension may occur when necessary to address security, legal, privacy, or safety risks.

Termination does not eliminate obligations that arose before termination.

Availability and Modifications

GaiaBot may modify, update, restrict, suspend, or discontinue any part of the platform.

GaiaBot does not guarantee that:

  • The platform will always be available.

  • Features will remain unchanged.

  • Errors will always be corrected.

  • Data will always be recoverable.

  • Outputs will always be accurate or complete.

  • The platform will work with every device, browser, dataset, or system.

  • Prototype or beta features will become production services.

Users should maintain independent copies of important data and outputs.

Disclaimers

To the maximum extent permitted by law, GaiaBot is provided on an “as is” and “as available” basis.

GaiaBot makes no express or implied warranties regarding:

  • Accuracy.

  • Completeness.

  • Reliability.

  • Availability.

  • Fitness for a particular purpose.

  • Merchantability.

  • Non-infringement.

  • Compatibility.

  • Security.

  • Results obtained through use of the platform.

Nothing in these terms creates a professional, fiduciary, advisory, partnership, employment, or agency relationship between GaiaBot and a user.

Limitation of Liability

To the maximum extent permitted by applicable law, GaiaBot and its owners, employees, developers, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages resulting from use of or inability to use the platform.

This includes, without limitation, losses involving:

  • Data.

  • Revenue.

  • Profits.

  • Business opportunities.

  • Research results.

  • Operational delays.

  • Service interruptions.

  • Decisions based on platform outputs.

  • Unauthorized access outside GaiaBot’s reasonable control.

  • Third-party services or datasets.

Where liability cannot legally be excluded, GaiaBot’s liability will be limited to the greatest extent permitted by law.

Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to every user.

Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless GaiaBot and its owners, employees, developers, contractors, and affiliates from claims, losses, liabilities, damages, and expenses arising from:

  • Your misuse of GaiaBot.

  • Your violation of these terms.

  • Data you submit without authorization.

  • Your violation of another person’s rights.

  • Your unlawful or negligent conduct.

  • Decisions or actions taken based on unverified platform outputs.

This obligation does not apply where prohibited by law.

Changes to These Terms

GaiaBot may update these Terms and Conditions as the platform, legal requirements, commercial services, and deployment options evolve.

The revised terms will be posted on this page with an updated effective date.

Material changes may also be communicated through the website, platform, or account contact information.

Continued use of GaiaBot after updated terms take effect constitutes acceptance of the revised terms, unless applicable law requires a different form of consent.

Governing Law

These Terms and Conditions will be governed by the laws of [Insert State and Country], without regard to conflict-of-law principles.

Any dispute arising from these terms or use of GaiaBot will be handled in the courts located in [Insert County, State, and Country], unless a separate written agreement or applicable law requires otherwise.

Severability

Entire Agreement

These Terms and Conditions, together with the GaiaBot Privacy Policy and any applicable separate written agreement, constitute the agreement governing use of the platform.

A separately signed customer agreement, statement of work, order form, or deployment agreement will control where it directly conflicts with these general terms.
